Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of BidVision, a proprietary business management platform operated by Wharton Hardware & Supply Co. ("Wharton," "we," "us," or "our"), accessible at bidvision.io (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility & Access

BidVision is a private, internal business application. Access is limited to:

  • Authorized employees and contractors of Wharton Hardware & Supply Co.
  • Customer Portal users who have been explicitly granted access to view specific bid and quote information
  • Temporary access may be granted for job fair applications and public catalog browsing

Access credentials are provided by a Wharton system administrator. You may not share your login credentials with any unauthorized person. Wharton reserves the right to revoke access at any time without notice.

3. User Roles & Permissions

Users are assigned roles that determine their access level within the platform. Roles include Super Admin, Admin, East Coast Admin, West Coast Admin, Sales Rep, Yard Manager, User, Read-Only Viewer, and Customer Portal. Each role has specific permissions governing which features, tabs, and data they can view or modify.

You agree to operate within the scope of your assigned role and not attempt to access areas of the platform beyond your authorization.

4. Acceptable Use

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
  • Interfere with or disrupt the Service or any servers or networks connected to the Service
  • Upload viruses, malware, or any harmful code
  • Scrape, harvest, or extract data from the Service using automated tools
  • Share, export, or disclose confidential business data (bid pricing, customer information, vendor costs, proprietary processes) to any unauthorized third party
  • Falsify or misrepresent any information entered into the system
  • Use the Service to harass, defame, or intimidate other users

5. Intellectual Property

The BidVision platform, including its code, design, features, logos, and documentation, is the proprietary property of Wharton Hardware & Supply Co. All rights reserved. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended business purpose only.

Business data entered into BidVision (bids, quotes, leases, inspection records, etc.) remains the property of Wharton Hardware & Supply Co. Employees and contractors acknowledge that all data created in the course of their work belongs to Wharton.

6. Confidentiality

All data within BidVision is considered confidential business information. This includes, but is not limited to:

  • Bid pricing, margins, and cost structures
  • Customer lists and contact information
  • Vendor pricing and supplier relationships
  • Sales strategies and pipeline data
  • Internal communications via BidChat
  • Equipment inspection results and compliance data
  • Lease terms and financial arrangements

Unauthorized disclosure of confidential information may result in disciplinary action, termination of access, and legal liability.

7. Data Accuracy

You are responsible for the accuracy of all data you enter into BidVision. This is particularly important for:

  • Bid amounts and project specifications that form the basis of customer agreements
  • Lease terms that become legally binding agreements
  • T-120 clutch inspection measurements that impact safety compliance
  • Fleet maintenance records that may be subject to regulatory review
  • Rebar fabrication specifications that affect structural integrity

Wharton is not responsible for business decisions made based on inaccurate data entered by users.

8. Service Availability

We strive to maintain continuous availability of BidVision but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance and platform updates
  • Google Firebase or Google Cloud Platform outages
  • Network connectivity issues
  • Force majeure events

We will make reasonable efforts to notify users of planned maintenance in advance.

9. AI-Assisted Features

BidVision incorporates AI-assisted features powered by Google Gemini, including automated takeoff analysis for bid estimation. While we strive for accuracy, AI-generated results are provided as suggestions only and should always be reviewed by qualified personnel before being used in customer-facing proposals or binding agreements.

Wharton is not liable for errors or omissions in AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHARTON HARDWARE & SUPPLY CO. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless Wharton Hardware & Supply Co., its officers, employees, and agents from any claims, liabilities, damages, or expenses arising from your violation of these Terms or your misuse of the Service.

12. Termination

Wharton reserves the right to suspend or terminate your access to BidVision at any time, with or without cause, and with or without notice. Upon termination, your right to access the Service ceases immediately. Provisions related to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts of Virginia.

14. Changes to Terms

We may modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of BidVision after modifications constitutes acceptance of the updated Terms.
